Welcome to Empassia. By using our services, you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By accessing or using Empassia's services, including EmployeeBee and Class Sphere, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Description of Services

Empassia provides cloud-based software solutions including:

  • EmployeeBee: A comprehensive Human Resource Management System (HRMS)
  • Class Sphere: A school management platform for educational institutions

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

3. Account Registration

To use our services, you must:

  • Be at least 18 years old or have legal authority to bind your organization
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account

4. Subscription and Payment

Billing

Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for the subscription fees.

Price Changes

We may change our prices at any time. Price changes will be communicated at least 30 days before taking effect and will apply to the next billing cycle.

Refunds

Annual subscriptions are eligible for a prorated refund within 30 days of purchase. Monthly subscriptions are non-refundable but can be cancelled at any time.

5. Acceptable Use

You agree not to:

  • Use our services for any illegal purpose
  • Violate any intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt our services
  • Resell or redistribute our services without permission
  • Use our services to harm, harass, or discriminate against others

6. Data Ownership and Use

Your Data

You retain all rights to the data you input into our services (“Customer Data”). You grant us a limited license to use this data solely to provide and improve our services.

Our Intellectual Property

All aspects of our services, including software, design, trademarks, and content, are owned by Empassia and protected by intellectual property laws.

7. Privacy and Security

Your use of our services is also governed by our Privacy Policy. We implement industry-standard security measures but cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your login credentials.

8. Service Level Agreement

For paid plans, we commit to 99.9% uptime availability. If we fail to meet this target, you may be eligible for service credits as outlined in our SLA documentation.

9. Termination

Either party may terminate the agreement:

  • At any time with 30 days written notice
  • Immediately if the other party breaches these terms
  • Immediately if required by law

Upon termination, you will have 30 days to export your data. After this period, your data will be permanently deleted.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMPASSIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims under these terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Empassia and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these terms.

12. Dispute Resolution

Any disputes arising from these terms will be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

13. General Provisions

  • Entire Agreement: These terms constitute the entire agreement between you and Empassia
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect
  • Waiver: Failure to enforce any right does not constitute a waiver
  • Assignment: You may not assign these terms without our consent

14. Changes to Terms

We may modify these terms at any time. We will notify you of material changes at least 30 days before they take effect. Continued use of our services after changes constitutes acceptance.
